1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and UAB "Modalta" ("we," "us," or "our"), concerning your access to and use of the modalta.lt website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site") and our digital subscription services.

2. Subscription Services & Payments

By subscribing to our Design or Development tiers, you agree to the following:

• Billing: You will be billed monthly on a recurring basis. All payments are non-refundable unless expressly stated otherwise in writing.
• Pausing/Canceling: You may pause or cancel your subscription at any time via your dedicated client portal or by contacting our team. If you pause, your remaining days in the billing cycle will be banked for future use.
• Work Output: We pledge to deliver high-quality assets within the estimated timeframes (typically ~48 hours for standard requests). However, complex requests may naturally take longer.

3. Intellectual Property Rights

Unless otherwise indicated, the Site and our services are our proprietary property. However, upon full payment for a specific deliverable or during an active, paid subscription, all intellectual property rights for the finalized designs and code produced specifically for you are transferred to you. We retain the right to showcase the work in our portfolio unless a Non-Disclosure Agreement (NDA) is signed.

4. Prohibited Activities

You may not access or use the Site or our services for any purpose other than that for which we make the Site and services available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

• You shall not submit requests for illegal, offensive, or discriminatory content.
• You shall not attempt to reverse engineer, decompile, or bypass the security of the Site or our client portals.

5. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Subscription Services with adequate notice to active clients.

6. Governing Law

These Terms shall be governed by and defined following the laws of Lithuania. UAB "Modalta" and yourself irrevocably consent that the courts of Lithuania shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
